Strategy's board has approved a proposal to pay dividends on four preferred stocks based on daily record dates instead of monthly, semi-monthly or quarterly schedules. The change would not alter dividend rates or raise the company's total regular dividend obligations, and still needs shareholder approval at an October 28 meeting.
Strategy wants every calendar day to count as a dividend record date for its STRC, STRF, STRK and STRD preferred stocks. The board approved the proposal on September 24, and Strategy filed the details with the SEC the following day.
Shareholder approval is still required before anything changes.
Daily Record Dates, Same Dividend Rates
Under the plan, any day — including weekends and holidays — would become a valid record date, with the actual cash payment following on the next business day. Strategy says the amendments would not increase or decrease the regular dividend rates on the four preferred stocks and would not raise its overall regular dividend obligations. In other words, this changes the cadence of payments, not the amount shareholders receive.
STRC would move first: its initial daily record date is expected on November 1, if shareholders approve the change. STRF, STRK and STRD would transition later, starting in January 2027.
Preferred Shares Built To Look Like Digital Credit
Strategy has increasingly described these preferred-stock products as "digital credit," structuring them around fixed or variable distributions and using the proceeds to support its broader capital structure and Bitcoin strategy. Dividend frequency is part of that same experiment: STRC only moved from monthly to semi-monthly payments earlier this year, and the daily-record proposal pushes further in that direction.
More frequent distributions could make accrued income easier to price into the securities and reduce friction for investors buying or selling shares between payment dates. Strategy says the goal is to support liquidity, demand and price stability. The proposal is not automatic, however — it still needs sign-off at a special shareholder meeting expected on October 28, plus the required corporate filings, before the amended terms take effect.
Strategy remains best known for accumulating Bitcoin, but its capital structure is becoming almost as experimental as the asset sitting inside it. If shareholders back daily dividends, its preferred shares will look less like conventional quarterly-income instruments and more like continuously accruing ones.
