WhiteHawk Minerals Corp. (NYSE:WHK) has completed approximately $111.8 million in natural gas asset acquisitions, led by a $105.0 million purchase of Marcellus, Utica and Haynesville Shale mineral and royalty assets from San Jacinto Minerals II. WhiteHawk first announced the San Jacinto deal on August 12, 2026, and the transaction has now closed alongside related financing.
Appalachia and Haynesville acreage change hands
The acquired assets span approximately 700,000 gross unit acres and 11,810 net royalty acres at an average net revenue interest of 0.21%. They include more than 1,700 producing wells, 245 wells in process and permits, and 2,500 undeveloped locations.
Appalachia interests cover approximately 600,000 gross unit acres, with operators including EQT Corporation, Range Resources Corporation, CNX Resources Corporation and Antero Resources Corporation. The Haynesville interests span approximately 100,000 gross unit acres, operated in part by Expand Energy Corporation, Apex Energy LLC and Adamas Energy LLC.
Preferred and common stock fund the deal
WhiteHawk funded the acquisitions through a $50.0 million issuance of Series E Preferred Stock, which closed on Sunday. A $75.0 million private placement of Class A common stock closed on Friday. Alongside the financing, the company completed a fall redetermination of its reserve-based revolving credit facility, increasing borrowing capacity to $175.0 million; the facility remains fully undrawn.
Daniel Herz, WhiteHawk's Chairman, President and CEO, described the acquisitions and financings as part of the company's ongoing strategy: "The closing of the Acquisitions and related equity financings reflects our continued execution".
A bigger footprint in the Marcellus, Utica and Haynesville
WhiteHawk is a natural gas-focused mineral and royalty company with interests across approximately 3.6 million gross unit acres in the Marcellus, Utica and Haynesville Shales. Founded in 2022, the company has now added the Appalachia and Haynesville acreage acquired from San Jacinto Minerals II to that portfolio.
